Sham Foam's IPO aims to fuel expansion of Haryana foam manufacturer with ₹40.48 crore offer

Sham Foam Limited has launched a ₹40.48 crore IPO to fund the expansion of its Ambala manufacturing plant, aiming to boost production capacity and service across 13 states.

Sham Foam Limited, a Haryana-based maker of polyurethane foam, mattresses and other home comfort products, opened its SME initial public offering on August 11 and will close the issue on August 13, according to the company’s announcement. The offer is on the BSE SME platform and is intended to support expansion at its existing manufacturing unit, including civil construction, machinery purchases and working capital needs. The company says the issue price is ₹130 a share and the offer size is about ₹40.48 crore.

Incorporated in 2020, Sham Foam has built its business around PU foam products for bedding and furniture, along with industrial-grade foam used in sectors such as apparel, sports goods and automotive applications, according to company information and IPO material cited by Kotak Neo and The Company Check. Its portfolio includes mattresses, pillows, cushions and furniture cushioning, sold under the Featherfresh and Restivia brands, with customisation options for different customers. The company says it operates a 2,04,460-square-foot facility in Ambala with an installed foam capacity of 15,000 tonnes a year.

The business claims a footprint across 13 states and says it works with more than 1,300 dealers, supported by a vertically integrated model that covers design, manufacturing, distribution and customer engagement. The company says its plant is ISO 9001:2015 and BIS certified, and that its location near major demand centres helps cut logistics time and improve service. It also employs more than 80 people at the facility.

Financially, the company reported revenue of ₹92.39 crore in FY26, up from ₹81.62 crore in FY25, while profit after tax rose to ₹8.65 crore from ₹3.58 crore a year earlier, implying a margin of 9.37%. The prospectus material also highlights the experience of promoter Rajinder Kumar Jindal, who leads the company alongside Sanjeev Kumar Jindal, Monica Jindal and Deepika Jindal. Sham Foam said the IPO comprises 31.14 lakh fresh equity shares and that retail applicants must bid for at least two lots of 1,000 shares each. Corporate Makers Capital is acting as lead manager.
