NTPC approves ₹12,000 crore bond issuance to boost green energy investments

India’s largest power utility has approved a ₹12,000 crore non-convertible debentures issue to fund expansion, renewable projects, and manage liabilities amid increasing green energy investments.

NTPC’s board has approved raising up to ₹12,000 crore through non-convertible debentures, giving India’s largest power utility fresh room to fund expansion and manage its liabilities more efficiently. The company said the proceeds will be used for capital spending, debt refinancing, renewable energy growth and other corporate needs.

According to Energetica India and other business outlets reporting the decision, the debt sale will be carried out through private placement in one or more tranches, with as many as 12 series. The move still needs shareholder approval, and the company will issue the securities subject to market conditions and regulatory clearances.

The timing suggests NTPC is still leaning on long-term debt to support a heavy investment cycle across thermal generation, transmission, hydroelectric projects, energy storage and cleaner technologies. The Economic Times reported that the fundraising window would run from the special resolution date until the earlier of one year later or the next annual general meeting in financial year 2027-28.

NTPC has been stepping up spending on solar, wind, hybrid and green energy assets as India pushes ahead with its energy transition. The company is also investing in green hydrogen, battery storage, carbon management and integrated energy services, areas that require sustained capital. For a state-owned utility with relatively steady cash flows, access to the bond market can help keep borrowing costs under control while preserving flexibility for long-term projects.
