Organic Recycling Systems announces record date for 1-for-2 bonus shares ahead of expansion plans

Organic Recycling Systems Limited has announced its record date for a 1-for-2 bonus share issue, as the clean-tech firm prepares for expansion into bioenergy, green chemicals, and carbon capture, aiming for a BSE Main Board listing by 2026.

Organic Recycling Systems Limited has set August 20 as the record date for its 1-for-2 bonus share issue, with the newly allotted shares due to begin trading on August 24, according to a company announcement published by Tribune India. The clean-tech and decarbonisation company said shareholders approved the proposal at an extraordinary general meeting on August 3 after the board first recommended it on July 6.

The company plans to issue 51,99,637 fully paid-up equity shares of ₹10 each, taking the total number of shares in issue to 1,55,98,912 from 1,03,99,275. The paid-up equity share capital will rise to ₹15,59,89,120 from ₹10,39,92,750, with the bonus shares to be created through the capitalisation of reserves. Tribune India reported that the depository paperwork is due to be completed by August 21, the deemed allotment date.

Sarang Bhand, managing director and promoter, said the move reflects what he described as a profitable, growing and debt-light business. The company, which listed on the BSE SME platform in 2023, said the issue is meant to reward shareholders and support broader participation in the stock.

Organic Recycling Systems has also been positioning itself for expansion across bioenergy, green chemicals and carbon capture and utilisation. The company has said it has an EPC pipeline of roughly ₹500 crore to ₹600 crore across compressed biogas segments, a board-approved ₹1,000 crore build-own-operate agro valorisation platform and continuing operations-and-maintenance contracts, including a recent renewal with Indian Oil Corporation. It has said it aims to move to the BSE Main Board by October 2026.
