IDFC FIRST Bank announces its 12th annual general meeting to be held via video conference, seeking approval for significant capital raising to support future growth and strengthen its balance sheet.
IDFC FIRST Bank has called its 12th annual general meeting for August 31, 2026, with the gathering set for 2 p.m. IST and to be held entirely by video conference or other audio-visual means. The bank said the remote format will allow shareholders to join without attending in person.
At the meeting, shareholders will be asked to approve the audited standalone and consolidated financial statements for the year ended March 31, 2026, together with the directors’ and auditors’ reports. The agenda also includes the re-appointment of Pradeep Natarajan as a director, as he retires by rotation and offers himself for re-election, alongside a proposal to declare a dividend on equity shares.
The bank is also seeking shareholder approval for a major fund-raising plan. According to the notice, it wants authority to raise up to ₹7,500 crore through equity or equity-linked securities, including a qualified institutional placement, over the year after the AGM. It is separately asking for permission to issue debt securities on a private placement basis for up to ₹12,500 crore, above its outstanding debt securities, during the same period.
The meeting comes as banks continue to use shareholder approvals to preserve flexibility for capital and liability management. In this case, IDFC FIRST Bank is asking investors to sign off not only on its annual accounts and governance matters but also on financing options that could support future growth or strengthen its balance sheet.
