Tata Group shares fell sharply on Thursday after a board decision at Tata Sons set off a fresh governance dispute and revived doubts over the conglomerate’s future structure. According to market reports, the group’s listed companies lost about ₹46,634 crore in combined value as investors reacted to the widening rift at the holding company. Analysts said the sell-off reflected concern that the disagreement could complicate succession, ownership and a possible public listing of Tata Sons.

The immediate trigger was the Tata Sons board’s decision to extend Natarajan Chandrasekaran’s tenure by five years and to move ahead with steps towards a potential flotation of the holding company. That followed a Reserve Bank of India refusal last week to exempt Tata Sons from a listing rule, according to the reports. Chandrasekaran, known as Chandra, had earlier said he planned to step down in February, making the extension a surprise for many investors.

Tata Trusts, which controls Tata Sons, pushed back forcefully. Noel Tata, who chairs the Trusts, reportedly called the reappointment premature and said the board move was illegal. The Trusts also opposed a Tata Sons listing, deepening uncertainty about how the group will be governed and whether the holding company will eventually come to market.

Reports from Gulf News and LiveMint said the board proceeded despite the objections, citing a legal opinion on the limits of veto power. The dispute matters because Tata Sons sits at the centre of one of India’s most powerful business groups, with influence over companies spanning steel, automobiles, IT services, consumer goods and finance. For now, the market appears to be focusing less on the mechanics of the boardroom fight than on what it could mean for control, strategy and the timing of any listing.
