Uncertainty over HDFC Bank CEO’s future influences share outlook amid succession debates

HDFC Bank faces ongoing speculation over CEO Sashidhar Jagdishan’s reappointment, with investors awaiting confirmation of a full renewal or a short extension, amid governance and succession planning concerns.

Macquarie Group says uncertainty over Sashidhar Jagdishan’s future is hanging over HDFC Bank’s shares, as investors wait to see whether India’s biggest private-sector lender will give its chief executive a full new term or only a short extension. The brokerage said the decision will be read as a signal of how far the board has advanced in succession planning, at a time when the bank is still trying to draw a line under governance concerns and past scrutiny over deposits.

Jagdishan’s current term ends on October 26, and HDFC Bank has yet to announce whether he will be reappointed for a third stint, even after its board met on July 18 to approve quarterly results, according to Moneycontrol. The bank’s management has been under pressure to provide clarity, with shares already down more than 27% since the end of December and trading near a two-year low.

Macquarie analysts Suresh Ganapathy and Dev Shah said they see roughly equal odds of a six-month extension or a full three-year renewal. In their view, a shorter term would suggest the board wants extra time to seek a successor with Reserve Bank of India approval, which could prolong uncertainty and keep pressure on the stock. A full-term renewal, by contrast, would remove a major overhang and shift focus back to performance.

Other reports have suggested the board is leaning towards a fresh three-year mandate after external legal reviews found no merit in concerns raised by former non-executive chairman Atanu Chakraborty. The Economic Times said the RBI’s approval would still be central, while HDFC Bank chairman Rajiv Kumar recently met governor Sanjay Malhotra, with Jagdishan’s reappointment among the topics discussed, according to Moneycontrol. The bank’s incoming chief financial officer, Puneet Sharma, is due to join on September 1.
